Valentin Voinescu’s broad experience includes acting as lead Romanian counsel on a diverse range of projects, including finance transactions (with a total value exceeding 4 billion EUR in the past 5 years), restructuring and insolvency matters, as well as milestone regulatory projects implemented by various financial institutions in the market.

His practice focuses on:

Representative Cases and Transactions

  • assistance in obtaining a 400 million EUR sovereign guaranteed financing to a major player in the automotive industry for a major investment in Romania
  • lead Romanian counsel for the lenders in connection with a club type syndicated facility in the amount of 190 million EUR extended by three major Romanian banks to a major group of companies in the pharmaceutical sector, as well as a milestone 100 million EUR factoring solution by two of the banks to one of the members of the group
  • negotiation and amendment, on behalf of a major real estate group, of the credit and security documentation for a loan portfolio of more than 300 million EUR
  • lead counsel to a major Romanian bank, with respect to restructuring a 170 million EUR financing to a number of companies, operating in various industries, including energy and pharmaceuticals
  • lead counsel to a major Romanian bank, with respect to restructuring a 50 million EUR financing to a number of agribusiness companies
  • assistance to a local administrative body in relation to the largest ever municipal bond issue in Romania, amounting to 500 million EUR
  • lead Romanian counsel to a major international bank, on the cross-border merger between its Romanian subsidiary and the main headquarters
  • assistance to a leading Romanian real estate investor in connection with the acquisition and financing of two strategic developments in Bucharest
  • lead counsel and coordinator for four major Romanian banks, for the implementation of the New Civil Code and the New Civil Procedure Code, including complex training, analysis of the changes, and major changes in finance documentation
  • assistance to the lenders in relation to all Romanian matters in connection with the senior and mezzanine arrangements for an up to 800 million EUR financing of an important group operating in the medical industry
