Nestor Nestor Diculescu Kingston Petersen (NNDKP) provided legal and tax assistance to Opel (Groupe PSA) in relation to the transfer of its Romanian business to Trust Motors, an independent importer for Peugeot, Citroen and DS brands. Following the completion of the transaction, the entire activity of Opel in Romania and its local team will be integrated into Trust Motors.
NNDKP successfully assisted a syndicate of banks – comprising Banca Comercială Română S.A. (member of Erste Group), acting as Bookrunner, Mandated Lead Arranger, Documentation Agent and Facility and Security Agent, CEC Bank as Mandated Lead Arranger, and participating banks EximBank SA, Intesa Sanpaolo Romania SA and OTP Bank Romania SA – in granting an EUR 90 million loan facility to the Carmistin Group, one of the main players on the agricultural and zootehnical market in Romania.
NNDKP assisted CTP, the largest developer and long-term manager of industrial and logistics parks in Romania and Central and Eastern Europe in the transaction that involved the acquisition of a 95.000 sqm area of buildings from the Australian group, Cromwell Property.
NNDKP assisted Medima Health, a chain of medical clinics specialized in imaging and radiology, in relation to the sale of the majority stake held by renowned radiology professor Dr. Gheorghe Iana and seasoned CEO, Vlad Ardeleanu to Morphosis Capital, as well as in establishing a strategic partnership with the private equity fund.
