  • advice to the world leader in resin-based separation, purification and extraction technology in its entire divestiture valued at approximately US$ 3.7 billion
  • advice to a Swiss-Swedish multinational corporation, operating in robotics, power, heavy electrical equipment and automation of technology areas in respect to its corporate reorganization process of the Romanian entity by means of a reverse carve-out of the activity not related to the power-grid business
  • assistance to one of the leading players in the food industry in Romania, in the acquisition of a company active in the manufacture of animal feed and hatchery, further to a EUR 20.3 million transaction, covering all M&A aspects derived therefrom
  • advice to a chain of medical clinics specialized in imaging and radiology throughout the entire process of sale of the majority stake to a private equity fund, as well as establishing a strategic partnership for the expansion of such clinics throughout the country
  • assistance to a German multinational automotive parts manufacturing company in respect to the restructuring of the entities held in Romania as a result of the global reorganization of the group (involving share transfers, business transfers, spin-off, etc.)
  • advice to a Swiss major pharmaceutical company in restructuring one of its companies incorporated in Romania through a carve-out of certain activities pursuant to several local contribution of shares and transfer of shares
  • assistance to an Israeli global manufacturer in the plastics industry in the acquisition of a Romanian company acting in the same industry during the entire process of the transaction: due diligence, drafting, negotiation and conclusion of the share transfer agreement and other transaction documents, as well as registration formalities of the new shareholder
  • advice to a local venture firm focused on helping very early-stage innovative start-ups build successful businesses by means of structuring from a corporate and financing perspective the envisaged project
  • assistance to a leading Italian company active in the field of construction and design of major infrastructure works, both in the public and private sector, as Contractor, for the rehabilitation of the Vintu de Jos railway structure in the benefit of the state railway operator as Employer, on matters related to a FIDIC Agreement as well as substantiation and submission of claims
  • advice to a state authority on a complex greenfield project regarding development of hydroplant production capacities
  • assistance to a major utilities company in the process of setting up a project company for development and operation of a generation nuclear power plant
  • corporate and restructuring matters related to the envisaged reorganization of the Romanian operations of a world leading supplier of technology, integrated project management and information solutions in the oil and gas industry
  • legal assistance for a major health company in relation to its dialysis services/operations in Romania (including expanding the business thereof in Romania)
  • advice to a significant financial group in the process of divesture from its subsidiaries located in Romania (investment firm and insurance company)

  • advice to a leading Austrian company active in the infrastructure field in relation to matters arising out of a FIDIC agreement concluded with the Romanian National Company of Motorways and National Roads for construction of a road infrastructure
  • various advice for a major Spanish infrastructure company in connection with construction agreements concluded with the Romanian National Company of Motorways and National Roads, including public procurement issues (for highway construction and development of a photovoltaic park)
